8.1 The Holding Company (HoldCo) Architecture

To ensure absolute compliance with the laws of the Federal Government of Nigeria, the rules of the Corporate Affairs Commission (CAC), and relevant sector-specific regulatory bodies, Project GRACE will operate under a formalized Holding Company (HoldCo) framework.

The corporate architecture unbundles operations into 11 distinct corporate entities. This structure isolates operational risk, optimizes tax efficiencies across multi-sector operations, and establishes a seamless governance pipeline for institutional capital deployment.

• Corporate Status: Incorporated (Active Parent & Core Operator).

• Operational Mandate: Serves as the current foundational parent entity. It maintains absolute oversight of the entire ICT framework, software-defined infrastructure, fiber-to-the-home (FTTH) networks, data centers, and advanced digital integration layers across all project nodes.

2. GRAMEL Industries Ltd

• Corporate Status: Proposed (To Be Incorporated).

• Operational Mandate: Operates as the heavy civil engineering and construction muscle of the HoldCo. This entity directly interfaces with appointed global EPC consultants, manages the procurement of industrial building materials, and oversees the physical execution of all municipal projects, including the high-stress Continuously Reinforced Concrete Pavement (CRCP) corridors in Zone D.

3. GRAMEL Homes & Estates SE Ltd

• Corporate Status: Proposed (To Be Incorporated).

• Operational Mandate: Holds exclusive administrative and asset ownership of all real estate land banks, mini-cities, residential quarters (Zones B & C), and commercial fronts (Zone A) located within the South East development corridor.

4. GRAMEL Homes & Estates SS Ltd

• Corporate Status: Proposed (To Be Incorporated).

• Operational Mandate: Holds exclusive administrative and asset ownership of all real estate land banks, mini-cities, residential quarters (Zones B & C), and commercial fronts (Zone A) located within the South South development corridor.

5. GRAMEL Homes & Estates SW Ltd

• Corporate Status: Proposed (To Be Incorporated).

• Operational Mandate: Holds exclusive administrative and asset ownership of all real estate land banks, mini-cities, residential quarters (Zones B & C), and commercial fronts (Zone A) located within the South West development corridor (Phase II Expansion baseline).

6. GRAMEL Prime Bank

• Corporate Status: Proposed (To Be Incorporated).

• Operational Mandate: Functions as the National Commercial Banking arm of the group. Governed under strict Central Bank of Nigeria (CBN) regulations, it manages the entire economic float of the ecosystem, clearing B2B agri-tech transactions, holding mortgage portfolios, and driving the digital omnichannel financial platform.

7. GRAMEL EDC Limited

• Corporate Status: Incorporated (Active Core Governance Engine).

• Operational Mandate: Functions as the centralized Shared Services, Human Resources, and Corporate Governance engine for the entire HoldCo.

• The Ecosystem Filter: It operates as the strict risk management filter and primary gatekeeper. GRAMEL EDC Ltd is legally tasked with screening, formalizing, training, and certifying regional agribusiness small and medium enterprises (SMEs) before onboarding them into any HoldCo outgrower or processing programs, ensuring top-tier corporate discipline.

8. GRAMEL Agro-Allied Ltd

• Corporate Status: Proposed (To Be Incorporated).

• Operational Mandate: Manages the food security and agribusiness ecosystem. This entity holds operational control over the dual 500-hectare commercial anchor farms, Black Soldier Fly (BSF) protein loops, outgrower off-take contracts, and the heavy midstream industrial processing parks (silos, flour mills, biochar plants, oilseed crushing lines).

9. GRAMEL Education Ltd

• Corporate Status: Proposed (To Be Incorporated).

• Operational Mandate: Serves as the custodian of intellectual property and research assets. It holds administrative and operational ownership of the dual-campus GRAMEL University of Technology and coordinates the educational frameworks of all Zone A ICT & HR Training Academies across the national grid.

10. GRAMEL Medicare Ltd

• Corporate Status: Proposed (To Be Incorporated).

• Operational Mandate: Operates as the healthcare asset management corporation. This entity holds strict operational ownership of the Two 400/500-Bed Multi-Specialist Quaternary Medical Cities / Centers of Excellence, advanced diagnostic laboratories, and pharmacy networks, while physically hosting the clinical rotations for the College of Health Sciences.

11. GRAMEL Transport Ltd

• Corporate Status: Proposed (To Be Incorporated).

• Operational Mandate: Serves as the automated transit and logistics arm of the group. It manages the fleet of Compressed Natural Gas (CNG) chilled distribution trucks, the intra-city electric vehicle (EV) public buses, and coordinates the digital multi-modal ticketing terminals situated in Zone D across the 75 estate nodes.

8.3 Regulatory Compliance Matrix

All appointed legal and financial consultants must ensure that the rollout of these corporations satisfies the strict oversight of respective Nigerian regulatory authorities:

Consultant Note: Board compositions for each subsidiary must feature independent directors with deep sector-specific expertise, ensuring that inter-company transactions (e.g., GRAMEL Agro-Allied renting solar cold pods from GRAMEL Transport within a GRAMEL Homes estate) are handled transparently at arm's length.
